Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Hodie mobile application and related services ("Hodie," the "App," or the "Service"), provided by Migla SIA ("Hodie," "we," "us"). By creating an account or using the App, you agree to these Terms.

If you don't agree, don't use the App.

IMPORTANT — please read Sections 10 (Limitation of Liability) and 14 (US Arbitration and Class Action Waiver) carefully. They affect your legal rights.

1. Eligibility

You must be at least 18 years old to use Hodie. By signing up you represent that you are 18 or older, have full legal capacity to enter into these Terms, and are not barred from using the Service under the laws of your country.

Hodie is a dating service. You may only register and use an account for yourself, with your own first name and your own photographs taken on the day you post them.

2. Your Account

You sign in with your phone number and a one-time SMS code. You're responsible for keeping that phone number under your control. Sharing your account, transferring it, or operating it for someone else is not allowed.

If you suspect unauthorized access, sign out from Settings → Sign Out and email support@migla.io immediately.

3. Acceptable Use

When you use Hodie you agree not to:

  1. Be under 18 or pretend to be older or younger than you are.
  2. Impersonate anyone else or misrepresent your affiliation with any person or entity.
  3. Upload photos that aren't of yourself, taken on the day you post.
  4. Post nudity, sexually explicit content, gore, hate speech, threats, or content that incites violence.
  5. Harass, bully, stalk, dox, or threaten any user.
  6. Promote, advertise, solicit, or sell anything (escort services, drugs, weapons, MLM schemes, OnlyFans / paid content, get-rich-quick, etc.) through your profile, photos, bio, or chat.
  7. Spam, scrape, mass-message, automate, or otherwise abuse the Service.
  8. Try to reverse-engineer, decompile, or extract source from the App.
  9. Probe, scan, or test the security of any system or network used to provide the Service.
  10. Use the Service if you are listed on a sex-offender registry or subject to a restraining order related to sexual misconduct (see Section 8).
  11. Violate any applicable law (including export controls and sanctions).

Full conduct rules are in our Community Guidelines. Both this section and the Community Guidelines form part of these Terms.

4. Your Content

You own the photos, bio text, messages, and other content you post on Hodie ("Your Content"). You grant us a worldwide, royalty-free, sublicensable license to host, store, reproduce, display, and adapt Your Content solely to operate and improve the Service (e.g., show your profile to potential matches, generate thumbnails, back up your data).

This license ends when you delete the content or your account, except where we are legally required to retain it (e.g., abuse reports, financial records).

You represent that you own or have the rights to Your Content and that posting it on Hodie does not infringe anyone else's rights.

5. Subscriptions and In-App Purchases

Hodie offers optional paid features:

Pricing, billing, and renewal

The price, billing period, and renewal terms of each subscription are clearly shown in the App before you confirm your purchase. Payment is charged to your Apple ID account at the moment you confirm the purchase.

Auto-renewal. Subscriptions automatically renew at the end of each billing period at the same price (subject to any price change disclosed to you in advance) unless you cancel at least 24 hours before the end of the current period. Apple will charge your Apple ID for renewal within 24 hours before the end of the period.

How to cancel. You can manage or cancel your subscription anytime in Settings → Apple ID → Subscriptions on your iPhone, or at apps.apple.com/account/subscriptions. We cannot cancel subscriptions on your behalf; only Apple can. Cancellation takes effect at the end of the current billing period — you keep access to paid features until then.

Free trials and introductory offers. If we offer a free trial or introductory price, you must cancel before the trial ends to avoid being charged the regular price. The trial duration is shown in the App before you begin.

Refunds. Refunds are handled exclusively by Apple. To request one, use reportaproblem.apple.com. We have no ability to issue refunds for App Store purchases.

Consumables. Boosts, Spotlights, and Streak Freezes are non-refundable once used. Unused consumables remain on your account until you use them or delete your account.

Apple's Standard EULA. You authorize Apple to charge your account and agree that Apple's Standard EULA applies to your use of the App, including all in-app purchases. To the extent of any conflict between Apple's Standard EULA and these Terms, the Apple Standard EULA controls for matters within its scope.

EU and UK consumers — right of withdrawal

Under the EU Consumer Rights Directive (Directive 2011/83/EU) and equivalent UK law, consumers generally have a 14-day right to withdraw from a purchase of digital content. By purchasing a Hodie subscription or consumable and beginning to use it within the 14-day period, you expressly consent to immediate performance of the contract and acknowledge that you lose the right to withdraw upon first use. For unused subscription time, use Apple's standard refund process (reportaproblem.apple.com).

6. Privacy

Your use of Hodie is also governed by our Privacy Policy, which explains what we collect, how we use it, and your rights over it.

7. Safety and Moderation

We operate a moderation program in accordance with these Terms, our Community Guidelines, and applicable law. We may, at our discretion:

We don't conduct criminal background checks on users, and we cannot verify the truthfulness of statements other users make. You alone are responsible for your interactions with other users, including arranging in-person meetings. Meet in public the first time. Tell a friend where you're going. Trust your instincts. If something feels off, leave.

We may share information about users with law enforcement, courts, or regulators when we have a good-faith belief that disclosure is necessary to comply with the law, protect rights, or prevent harm.

8. Sex Offender Prohibition

By using Hodie you represent and warrant that you are not:

If we learn or have reason to believe any of the above applies to you, we will ban your account, and we may report the information to law enforcement.

9. Termination

You can delete your account at any time from Settings → Delete Account. Doing so permanently removes your profile, photos, matches, and messages (see the Privacy Policy for retention details).

We may suspend or terminate your account if you violate these Terms or the Community Guidelines, if continued service creates a legal or safety risk, or if we discontinue the Service. We will give you reasonable notice when we can, unless an immediate action is necessary to protect the community.

Termination does not refund any active subscription period (refunds remain Apple's discretion) and does not erase obligations that survive by their nature (Sections 4, 10, 11, 12, 14).

10. Disclaimers

Hodie is provided "as is" and "as available". We don't guarantee:

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or trade usage.

11. Limitation of Liability

To the maximum extent permitted by law:

Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or statutory consumer rights you cannot waive.

12. Indemnity

You agree to defend, indemnify, and hold harmless Migla SIA, its officers, employees, and contractors against any claim, demand, loss, liability, damage, or expense (including reasonable attorney fees) brought by a third party arising from (a) Your Content, (b) your violation of these Terms or the Community Guidelines, (c) your violation of someone else's rights, or (d) your interactions with any other Hodie user.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of Latvia, without regard to conflict-of-law principles.

Users outside the United States. Any dispute will be resolved by the courts of Riga, Latvia, unless mandatory consumer-protection laws in your country of residence grant you the right to sue in your local courts. EU residents may also use the European Commission's online dispute resolution platform: ec.europa.eu/consumers/odr.

Users in the United States. Disputes are subject to the binding individual arbitration and class action waiver in Section 14.

14. US Users — Arbitration and Class Action Waiver

This Section applies to users located in the United States. Read it carefully — it affects your legal rights.

You and Hodie agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with Hodie ("Dispute") will be resolved by binding individual arbitration, not in court, except:

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The seat of arbitration is New York, NY. The arbitrator has authority to grant any relief that would be available in court.

Class action waiver. You and Hodie agree that any Dispute must be brought in your individual capacity and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims of multiple users and may not preside over any form of representative proceeding.

30-day opt-out. You may opt out of this arbitration agreement by sending written notice to support@migla.io within 30 days of first accepting these Terms. The notice must include your name, account phone number, and a clear statement that you opt out of arbitration. Opting out does not affect any other provision of these Terms.

If any part of this Section is found unenforceable, the remainder remains in effect — but the class action waiver is essential. If the class action waiver is found unenforceable as to a particular claim, the entire arbitration agreement is void as to that claim and that claim alone.

15. EU Users — Digital Services Act Compliance

In accordance with the EU Digital Services Act (Regulation (EU) 2022/2065), Hodie:

16. DMCA Notice and Takedown

If you believe content on Hodie infringes your copyright, please send a notice to our designated DMCA agent in accordance with 17 U.S.C. § 512(c)(2):

Your notice must include:

  1. A physical or electronic signature of the copyright owner or authorized agent;
  2. Identification of the copyrighted work claimed to be infringed;
  3. Identification of the infringing material and where it appears on Hodie (URL, screenshots, or a clear description);
  4. Your contact information (address, phone, email);
  5. A statement of good-faith belief that the use is not authorized;
  6. A statement, under penalty of perjury, that the information is accurate and that you are authorized to act for the copyright owner.

Counter-notices, if any, must be sent to the same address and contain all elements required under 17 U.S.C. § 512(g).

We will respond to valid DMCA notices in accordance with the law and may remove the disputed content while we process the notice. Repeat infringers will have their accounts terminated.

17. Changes to These Terms

We may revise these Terms when the Service changes or to comply with law. Material changes will be announced in-app at least 14 days before they take effect, and the new "Last Updated" date will appear at the top. If you don't agree with a change, your sole remedy is to stop using the App and delete your account before the change takes effect.

18. Apple-Specific Terms

You acknowledge that these Terms are between you and Migla SIA, not Apple. Apple is not responsible for the App or its content. In the event the App fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any). Apple has no further warranty obligations.

Apple is a third-party beneficiary of these Terms and may enforce them against you.

19. Force Majeure

Neither party is liable for failure or delay in performance due to events beyond reasonable control, including natural disasters, war, terrorism, riots, civil unrest, government action, pandemic, labor disputes, internet or infrastructure outages, denial-of-service attacks, or third-party service failures. Time for performance is extended for the duration of the event.

20. Severability, Entire Agreement, and No Waiver

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced with one that achieves the same intent as far as legally possible.

Entire agreement. These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Hodie regarding the Service and supersede any prior agreements on the same subject.

No waiver. Our failure to enforce any provision is not a waiver. Any waiver must be in writing and signed by us.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to applicable consumer-protection law.

21. Notices and Electronic Communications

We may send you notices about the Service via in-app message, push notification (if enabled), email (if provided), or a posting on hodieapp.one. You consent to receiving electronic communications and agree that they satisfy any legal requirement that a communication be in writing.
